Plaintiff says BlackEagle approached it in summer 2012 about leasing a fleet of specialized trucks and represented that it was a private equity group that invested in companies related to waste management, rehabilitated and sold them. Defendant, plaintiff says, represented that it had purchased East Coast Resources and its companion property, The East End Landfill. Plaintiff says defendant said it intended to form a new company, Lone Pine, because ECR and East End Landfill had a poor reputation. Plaintiff agreed to lease 16 trucks to Lone Pine, and in December 2012 and January 2013, says it purchased 16 2014 Mack Granite MP8 trucks for $140,817.40 each. Lone Pine had no business activity other than entering into the agreement with plaintiff, plaintiff alleges, and by creating a web of entangled holding and parent companies, BlackEagle worked to ensure that ECR could be sold without any liability under the lease agreements. Plaintiff says defendant is in default and alleges piercing the corporate veil and fraudulent inducement and seeks judgment in principal sum of $1,875,000 and punitive damages of $350,000.
