Apple REIT’s board of directors contends the offer price represents an attempt by the bidder to purchase shares at an unreasonably low price, make a profit and deprive shareholders of the potential opportunity to realize the long-term value of their investment, among other reasons cited in the statement.
The tender offer was filed with the SEC on March 18.
Dominion Resources
The power company solicited shareholders’ support for the board of directors to provide a report on financial risks posed by climate change, specifically impacts of more frequent and more intense storms, within six months of this year’s annual meeting.
The filing states Dominion has taken steps to include a connection between climate change and weather-related risk in its 10-K and 10-Q filings, but adds it “must do more to acknowledge the growing likelihood of weather-related risks…” and to define actions the board will take to protect shareholders from financial risks associated with climate change.
