Hamilton Beach Brands (HBB)

The Glen Allen-based kitchen appliances supplier held a conference call with investors regarding its plan to spin off from NACCO Industries as an independent public company registered with the SEC. A transcript of that call is available here.

The company plans to apply for a listing on the New York Stock Exchange under the symbol HBB. The spinoff is expected to be completed in the third quarter. More information on the plan is available here.

Kinsale Capital Group (KNSL)

The insurer said director Joel G. Killion resigned from its board, effective Aug. 25. Kinsale said Killion’s resignation from “ did not result from a disagreement with the company on any matter relating to the company’s operations, policies or practices.”

The company said it elected Gregory M. Share, 43, to fill Killion’s spot as Class I director on the board.

Markel (MKL)

Co-CEO Richard Whitt III sold 700 shares of common stock at prices ranging from $1,045 to $1,050 per share for a total of $732,000.

Performance Food Group (PFGC)

The Goochland-based foods distributor filed its annual report for fiscal year 2017. Net sales totaled $16.7 billion, up from $16.1 billion the year before and $12.8 billion in FY13. Revenues totaled $96.3 million, up from $68.3 million in FY16 and $8.4 million in FY13.

Executive VP James Hope purchased 3,575 shares of common stock at prices ranging from $26.70 to $27 per share. He now directly owns 68,955 shares.

WestRock (WRK)

Director John Luke Jr. exercised options for 87,202 shares of common stock, selling them at prices ranging from $55.04 to $55.21 for a total of $4,801,356.
