Director Thomas Folliard sold 50,000 shares of common stock at $61.41 per share for a total of $3,070,500. He also gifted 8,000 shares, bringing his total number of directly owned shares to 501,166.
CEO William Nash gifted 1,000 shares. He now directly owns 47,950 shares.
Eastern Virginia Bankshares (EVBS)
The parent of EVB completed its deal to be acquired by Northern Virginia-based Southern National Bancorp of Virginia and its Sonabank subsidiary. The combined company has approximately $2.6 billion in total assets. The Southern National and Sonabank brands will survive and the company will be headquartered in McLean. It will have 47 branches covering markets in Maryland and Virginia. EVB shareholders received 0.6313 shares of Southern National common stock for each of their shares.
EVB’s Joe Shearin will serve as president and CEO, while Sonabank’s Georgia Derrico as Executive Chairman and Roderick Porter will be executive chairman and executive vice chairman respectively.
EVB also had its stock removed from the market as a result of the deal.
Universal Corp. (UVV)
The tobacco company filed a prospectus related to its annual shareholders meeting to be held Aug. 3 at 2 p.m. at the company’s headquarters at 9201 Forest Hill Ave.
The prospectus includes the annual compensations of several top executives. CEO George Freeman III received $3.99 million in total compensation in fiscal year 2017, including a base salary of $850,000, $1.6 million in stock awards, $1.1 million in non-equity incentive plan compensation and other compensations.
Freeman gifted 1,068 shares of common stock. He now directly owns 225,548 shares and indirectly owns 600 shares.
Village Bank & Trust Financial (VBFC)
The Midlothian-based bank added Frank Jenkins Jr. to its board of directors, effective July 1. Jenkins is managing partner of accounting firm Adams, Jenkins and Cheatham. He has bachelors and master’s degrees from Virginia Commonwealth University.
