Apple REIT
California financial firm MacKenzie Capital Management is seeking to purchase 300,000 shares of Apple REIT Ten from the REIT’s shareholders at $5.25 per share, a total potential investment of $63.7 million. MacKenzie has made several similar attempts over the last two years to coax Apple REIT shareholders into selling.

First Capital Bancorp (FCVA)
Director Joseph C. Stiles Jr. will not stand re-election at First Capital’s upcoming annual meeting in May. The company said there was no dispute or disagreement that prompted the decision.

Genworth Financial (GNW)
The company elected former Sen. G. Kent Conrad to serve as a new independent director. Conrad, 65, served as a U.S. Senator representing North Dakota from 1987 to 2013. He holds an A.B. degree in Political Science from Stanford University and an M.B.A. degree from George Washington University.

James River Coal (JRCC)
The company released the total compensation packages paid to its top executives in 2012. Chairman, President and CEO received $1.29 million in total pay last year. That included a $775,000 base salary, a $300,000 bonus and other perks.

Markel (MKL)
The specialty insurer filed its total compensation numbers for its top executives last year. Top on the list was Chairman and Chief Executive Alan Kirshner with $2.08 million in total pay for 2012. That included a $666,000 base salary, a $420,000 bonus, $700,000 in stock awards and other pay.

Chief Investment Officer Tom Gayner was second on the list with a total pay package of $1.84 million. His base salary was $575,000. He also received a $375,000 bonus, $625,000 in stock awards and other perks.

Vice Chairman Tony Markel, sold 130 shares for $446.10 per share. He then sold 59 shares at $507.90 each. The two sales total $87,000. The shares had been held in a trust.

Xenith Bankshares (XBKS)
Directors Jim E. Turner Jr. and Brian D. Jones, will retire from Xenith’s board upon the date of its upcoming annual meeting. They have both been directors since 2009. Turner is the former president and CEO of General Dynamics Corp. Jones is a principal and co-founder of BankCap Partners, Xenith’s largest shareholder.

Xenith also announced Thomas G. Snead Jr. has been nominated for election to the board. Snead is the former president and CEO of Wellpoint Inc., Southeast Region. He also previously was president of Anthem Southeast, and chairman and CEO of Trigon Healthcare, and was a director on the board of LandAmerica.
