The company amended its articles of incorporation to provide for a 50 percent reverse share split of its common shares prior to any potential listing of its shares on a stock exchange. The company has said it is exploring the option of a potential listing.

The parent of C&F Bank declared a regular cash dividend of $0.30 per common share payable April 1 to shareholders of record on March 13.

Robert Spilman, a director, acquired 500 shares at $73.79 per share for a total of $36,895.

Director William Barr acquired 3,389 shares in two transactions totaling $249,700.

Director Mark Kington acquired 30,000 shares at $73.67 per share for a total of $2.21 million.

Director Michael Szymanczyk acquired 10,000 shares at $73.54 per share for a total of $735,400.

The insurer elected Michael J. Schewel to its board of directors. Schewel is a partner with McGuireWoods and previously served as the state’s secretary of commerce and trade under Gov. Mark Warner.

Stuart Essig, a director, acquired 14,489 shares at $34.50 each for a total $499,870.

Executive Chairman Craig Smith sold 50,000 shares at $34.48 each for a total of $1.72 million.

James Rogers, a director, exercised options for 15,000 shares for a total of $307,275. He then sold 8,882 shares at $34.59 each for a total of $307,228.

President and CEO Nancy Taylor exercised options for 30,000 shares at $15.80 per share for a total of $474,000. She then disposed of 21,457 share at $22.09 each for a total of approximately $474,000.
